Terms of Service — MEDI8R

These Terms of Service (the “Terms”) govern your access to and use of MEDI8R (the “Service”), operated by Purple Spiral LLC (“Purple Spiral,” “we,” “our,” or “us”), a Texas limited liability company with an address at 5208 Winsbury Dr, Georgetown, TX 78626. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What MEDI8R is — and is not

MEDI8R is an AI-assisted communication support tool for two people. It helps draft calmer messages, preserve important details, and record what you have both confirmed. MEDI8R is not therapy or counseling, not legal advice, not professional mediation, and not crisis or emergency assistance. Nothing in the Service creates an attorney–client, clinician–patient, or mediator–party relationship. If your situation involves danger to you or someone else, contact local emergency services or a qualified crisis line.

MEDI8R does not verify the truth, intent, or accuracy of anything you or your co-participant enter. Recorded agreements in the Service are plain-language records of what you have said; they are not legal contracts and are not substitutes for any written agreement a lawyer might prepare for you.

2. Eligibility

You must be at least 18 years old and able to form a binding contract in your jurisdiction to use MEDI8R. By using the Service you represent that you meet these requirements.

3. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at apps@purplespiral.net if you suspect unauthorized access. We may suspend or terminate accounts that we reasonably believe are compromised or are being used to harm others.

4. Acceptable use

You agree not to use the Service to:

send harassing, threatening, hateful, defamatory, or illegal content, or content that would violate a restraining or protective order;
impersonate another person or misrepresent who you are in a session;
share credentials, sell access, or use the Service to provide a regulated professional service (e.g. legal, clinical, or financial advice) to third parties;
reverse engineer, scrape, or attempt to extract model weights or other proprietary material from the Service;
interfere with, disrupt, or circumvent security or rate limits; or
use the Service in a way that violates applicable law, a court order, or the rights of any third party.

We may review, limit, suspend, or remove content that we reasonably believe violates these Terms, and we may suspend or terminate accounts that engage in prohibited conduct.

5. Your content

You retain ownership of the content you put into the Service (“Your Content”). You grant Purple Spiral a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, adapt, and process Your Content solely to operate, secure, and improve the Service and to provide the AI-assisted features you use. You represent that you have the rights necessary to submit Your Content and that it does not violate any law or third-party right.

6. AI-assisted output

When you run mediation or tone checks, the Service returns AI-generated text based on what you submitted. AI output is a suggestion only. You are solely responsible for reviewing, editing, and deciding whether to deliver any suggested wording to your co-participant. We do not guarantee that AI output will be accurate, appropriate for your situation, or free from errors or bias.

7. Subscriptions and billing

Some features require a paid subscription. Subscription pricing, features, and billing cadence are described in the Service at the point of purchase. We use Stripe as our payment processor; by subscribing, you agree to Stripe’s terms and authorize Stripe to charge your payment method on a recurring basis until cancelled. Except where required by law or expressly stated otherwise, fees are non-refundable.

You may cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period; you will retain access until then. We may change prices or plans on reasonable notice; material changes will not apply retroactively to the period you have already paid for.

Sales, use, value-added, and similar taxes are your responsibility unless we state otherwise.

8. Termination

You may stop using the Service at any time and close your account from settings or by emailing us. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or if continued provision of the Service becomes impractical. On termination, your right to use the Service ends; sections that by their nature should survive termination will survive.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that AI output, tone checks, or mediation suggestions will be accurate, safe, or suitable for your situation. Nothing in the Service is therapy, legal advice, professional mediation, or crisis support.

10. Limitation of liability

To the maximum extent permitted by law, Purple Spiral and its officers, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amounts you paid to Purple Spiral for the Service in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. In those cases, our liability is limited to the smallest extent permitted by law.

11. Indemnity

You agree to defend, indemnify, and hold harmless Purple Spiral and its officers, members, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) Your Content, (ii) your use of the Service in violation of these Terms or applicable law, or (iii) your violation of any right of a third party.

12. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. The exclusive venue for any dispute that is not subject to arbitration or small-claims court will be the state and federal courts located in Williamson County, Texas, and you consent to personal jurisdiction there.

13. Dispute resolution; informal resolution first

Before filing any formal claim, you agree to contact us at apps@purplespiral.net and give us a reasonable opportunity (at least thirty days) to resolve the dispute informally.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you inside the Service or by email. Continued use of the Service after changes take effect means you accept the updated Terms.

15. Miscellaneous

If any part of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms, together with our Privacy Policy and any plan-specific terms shown at purchase, are the entire agreement between you and Purple Spiral regarding the Service.
